1. Agreement to these terms

Remediio is operated by Greenbox Analytics Inc., a Canadian company headquartered in Toronto, Ontario (“we,” “us,” “Greenbox”). These terms are a contract between you and Greenbox. By creating an account or using the Remediio platform (the “Service”), you agree to them. If you don't agree, don't use the Service.

If you accept these terms on behalf of a company, label, or management firm, you confirm you're authorised to bind that organisation, and “you” means both you and it.

Our Privacy Policy explains what we do with personal information and forms part of these terms.

We try to write this in plain language. “Content” means anything you put into the Service, including contracts, royalty statements, split sheets, audio, project files, notes, artist and work metadata, and anything else you upload or create.

2. Your account

You must be at least 16 years old to use the Service, and old enough to enter a binding contract where you live. Register with accurate details and keep them current.

You're responsible for your credentials and for everything that happens under your account. Don't share your login. If you believe your account has been compromised, email tech@greenboxanalytics.ca right away.

3. Your content

Your Content is yours. Uploading a contract, a royalty statement, a master, or a split sheet to Remediio doesn't transfer any ownership to us. We claim no rights in your recordings, compositions, or the agreements you store here.

You are responsible for what you upload. By uploading Content, you confirm that you own it or otherwise have the right to store and process it on the Service. That includes documents that are confidential or belong to a third party, such as a label agreement, a publisher statement, or a collaborator's paperwork. Many music-industry contracts carry confidentiality clauses; check yours before uploading it, and don't upload anything you're not permitted to share with a service provider.

You're also responsible for what you do with Content that belongs to other people in a shared project or team, including how you invite collaborators and what you grant them access to.

4. The licence you give us

To run the Service we need permission to handle your Content. You grant us a limited, non-exclusive, revocable licence to host, store, back up, transmit, display, and process your Content solely to operate the features you invoke. For example, we use it to store a file you uploaded, analyse a contract when you ask Zoe about it, calculate royalties in OneClick, or generate a split sheet PDF.

That licence exists for no other purpose. We do not use your Content to train AI models, we do not sell it, and we do not analyse it for advertising. The licence ends when you delete the Content or close your account, subject to the retention periods described in the Privacy Policy and to copies in encrypted backups that roll off on their normal schedule.

5. Acceptable use

Don't:

  • Use the Service for anything unlawful, or to infringe someone else's rights.
  • Upload Content you don't have the right to store or process here.
  • Upload malware, or attempt to gain access to accounts, organisations, or data that aren't yours.
  • Circumvent or attempt to circumvent credit charges, storage caps, seat limits, plan entitlements, or API rate limits.
  • Reverse-engineer the Service, scrape it, or use automated means to access it other than through an API we provide you.
  • Resell, sublicense, or white-label the Service or its output as a competing product without a written agreement with us.
  • Interfere with the Service's operation or with other users' use of it.

We may suspend or terminate access for a serious or repeated breach of this section. Where it's reasonable to do so, we'll tell you first.

6. AI features and calculations

Remediio includes automated tools that read documents and produce numbers: Zoe analyses contracts, OneClick calculates royalties from statements and agreements, and the Metadata Registry can derive ownership splits from contracts you provide.

These are informational tools. They are not legal, financial, accounting, or tax advice, and they are not a substitute for a lawyer, an accountant, or a business manager.

AI systems make mistakes. A model can misread a clause, miss a term entirely, misattribute a payee, or produce a confident answer that is simply wrong. Calculations depend on the documents and figures you supply, and on how those documents are interpreted.

Before you act on anything the Service produces, such as paying a collaborator, accepting a statement, registering a work, signing an agreement, or making a business decision, verify it against the source documents yourself, and get professional advice where the stakes warrant it. You remain responsible for your own payments, filings, and registrations.

We don't warrant that any analysis, calculation, split, or generated document is accurate, complete, or fit for a particular purpose.

7. Plans, credits and billing

The Service is offered on Free, Basic, and Pro plans. Paid plans are billed in advance through Stripe, our payment processor, and renew automatically for the same term until you cancel. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current paid period, and we don't pro-rate partial periods.

How credits work

Metered actions, such as an AI contract analysis, a royalty run, a contract parse, or a generated split sheet, draw credits from your wallet. Each action has a published base price, which is the normal charge for that deliverable. The base is a floor rather than a fixed fee: a run that costs materially more to produce than the base covers may draw more credits.

Your wallet holds two kinds of credits:

  • Monthly plan credits are granted with each billing period and expire at the end of that period. They don't carry over.
  • Purchased and granted credits sit in a reserve that doesn't expire while your account is open.

We charge on delivery: you're charged when a deliverable is produced, not when a request starts. If a run fails or is interrupted before delivery, it isn't charged. Re-requesting the same deliverable within the same billing period isn't charged twice.

Credits have no cash value, can't be exchanged for money, and are non-refundable and non-transferable except where a team admin moves reserve credits into a team pool using the transfer feature, or where a refund is required by law. Unused credits are forfeited when an account is closed.

Promotional access

We may offer free access to a paid plan for a set period, such as the founding member offer. Each offer is one per account and needs no card. When it ends, your account returns to the Free plan with no charge, and anything above the Free plan's limits follows the usual over-limit rules. We can change or end an offer for new sign-ups at any time; doing so doesn't shorten access already granted. Badges, such as Founding Member, have no cash value.

Prices, base rates, and plan entitlements can change. We'll give notice of a change that affects your plan before it takes effect for you, and you can cancel if you don't want to continue.

You're responsible for any taxes on your purchase. If a payment fails, we may suspend paid features until it's resolved.

8. Storage limits

Each plan includes a storage allowance. Personal storage is a hard cap. Once you reach it, you'll need to delete files or upgrade before uploading more.

Team storage on the Pro plan may continue past the included allowance and is billed monthly as pay-as-you-go to the member whose plan covers the team, at the rate shown in your billing settings.

9. Teams

You can create or join a team. Content held by a team belongs to the organisation, not to the individual who created it. That includes artists, projects, works, files, and boards transferred to the team. Team admins can see and manage that Content, and members who leave or are removed lose access to it. Transferring an artist to a team is one-way.

Every team is covered by one member's plan, which supplies the team's slot and its seat and storage limits. Coverage is claimed, not assigned, and it doesn't move on its own. If a team stops being covered, for example because the covering member downgrades or cancels, it enters a grace period. When the grace period ends, the team becomes inactive. An inactive team's Content is retained but is not accessible to anyone, including admins, until coverage resumes.

Archiving a team is reversible: it frees the slot and whatever the team's credit pool holds is preserved. Dissolving a team is not reversible: team-owned artists revert to the members who created them, purchased credits in the team pool are forfeited, and the team goes permanently inactive.

10. Partner API

This section applies only if we've enabled programmatic API access for your organisation.

  • API keys are secrets belonging to your organisation. Keep them secure, don't embed them in client-side code or public repositories, and rotate them if they're exposed.
  • You are responsible for all activity and all credit spend under your keys, including use by your own customers or systems.
  • Rate limits apply. We may throttle, suspend, or revoke a key without notice where we reasonably suspect abuse, compromise, or a risk to the Service.
  • API calls are metered at the published partner prices, drawn from your organisation's pool.
  • Section 6 applies in full to API output. If you surface our analysis or calculations to your own users, you are responsible for what you tell them about it.

11. Cancellation and deletion

You can cancel a paid plan or delete your account at any time from your settings. Deleting your account deactivates it immediately: sign-in is blocked, subscriptions are cancelled, and team seats are suspended.

Deletion is then permanent after 90 days. Within that window, support can restore the account on request. After it, your data is purged and cannot be recovered. Export anything you want to keep before you delete.

We may suspend or terminate your access for breach of these terms, for non-payment, or where we're required to by law. If we terminate your account without cause, we'll refund the unused portion of any prepaid subscription period.

12. Our intellectual property

We and our licensors own the Service, including its software, interface, design, and documentation, and the Remediio and Greenbox Analytics names and logos. We grant you a limited, non-exclusive, non-transferable right to use the Service under these terms while your account is active. Nothing here transfers any of our intellectual property to you.

If you send us feedback or suggestions, we may use them to improve the Service without obligation to you.

13. Third-party services

We run the Service on third-party infrastructure for hosting, our database, payment processing, email delivery, and AI inference. We also offer optional integrations with services like Google Drive. Those providers operate under their own terms and privacy policies. The current list is in our Privacy Policy.

Where you connect an integration, you authorise us to access that account as needed to provide the feature. We're not responsible for a third-party service's availability, or for what happens to your data once you export it there.

14. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Remediio is in beta. Features may change, be added, or be removed as we develop it.

We don't warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any result obtained from it will be accurate or reliable. See section 6 for AI output specifically.

Keep your own copies of important documents. Remediio is a working tool, not a system of record for your business. We back up, but you should not rely on us as the only place a contract or statement exists.

15. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost royalties, lost revenue, lost business, or lost or corrupted data, even if we were advised such damages were possible.

Our total aggregate liability arising out of or relating to the Service or these terms is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions don't allow certain exclusions or limitations. Where that's the case, these limits apply to the maximum extent the law permits, and nothing here limits liability for fraud, gross negligence, or anything else that can't be limited by law.

16. Indemnity

You agree to defend, indemnify, and hold harmless Greenbox Analytics Inc., its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from your Content, your use of the Service, or your breach of these terms. That includes a claim that Content you uploaded infringed someone's rights or breached a confidentiality obligation.

17. Changes

We develop the Service continuously and may add, change, or remove features. We may also update these terms. When a change is material, we'll give notice by email or in the app before it takes effect, and we'll update the date at the top of this page.

Continuing to use the Service after a change takes effect means you accept the updated terms. If you don't accept them, cancel your plan and stop using the Service.

18. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. You and we submit to the exclusive jurisdiction of the courts of Ontario, Canada.

If any provision of these terms is found unenforceable, the rest stays in force. Our not enforcing a provision isn't a waiver of it. These terms, together with the Privacy Policy and any written agreement we've signed with you, are the entire agreement between us.
